Job Title: China Head Legal &M&A
Responsibility:
• Management of direct reports.
• Inform China Area Management Team and the respective functional head regarding relevant business transactions prior to decision-making.
• Member of the Supervisory Board in Chinese subsidiaries and joint ventures.
• Legal support, including negotiation support, for the Chinese area management team, Chinese subsidiaries, joint ventures and on request also regional CEO on legal and M&A matters.
• Draft and review internal and external contracts and legal documentation to ensure compliance with applicable laws and regulations, as well as internal guidelines.
• Select, coordinate and manage external legal counsels in accordance with internal guidelines.
• Define strategy for litigation, arbitration and regulatory proceedings.
• Support implementation of corporate procedures, policies, and values. Upon request, training of staff in legal matters.
• Coordinate M&A projects in accordance with Group guidelines.
• Select, coordinate and manage external M&A counsel in accordance with internal guidelines to support project execution.
• Supporting the appointed business M&A project manager.
• Establish and actively run a proper archiving system.
• Manage and monitor external advisor fees.
Requirement:
• Bachelor of Laws or equivalent education.
• Minimum 10 years of experience, with at least 5 years in a position of in-house legal counsel, preferably with a multinational company.
• Experience as member of negotiation teams, excellent negotiation skills.
• Experience and background in managing M&A projects is appreciated.
• Experience of matrix organization is appreciated.
• Ability to find solutions, to achieve objectives and drive to completion.
• Self-motivator with ability to work under time pressure
• Demonstrated ability to work independently.
• Team player with excellent interpersonal and communication skills.
• Strong initiative and business acumen.
• Excellent management, delegation and problem-solving skills.
